This Addendum supplements the MSA, DPA, Security Exhibit, AUP and SLA. In the event of conflict on public-sector matters, this Addendum prevails.

1. Procurement and award

1.1 Where the Customer procures through GeM, an RFP/RFQ, tender or framework agreement, the contract documents specified in the award (e.g., GeM Service Agreement, Special/General Conditions of Contract, Bid Documents) prevail over conflicting MSA provisions only to the extent the Order Form or addendum expressly accepts those provisions.

1.2 Timecampus's bid response, where contractually incorporated, is binding to the extent expressly accepted.

1.3 Customer warrants that it has lawful procurement authority and that all approvals have been obtained.

2. Identity and member setup

  • Customer shall provide: PAN, GSTIN (where applicable), DPIN/DSC, authorised signatory ID, IFSC and bank account proof, Vendor Identification Number on GeM, and applicable approvals.
  • Timecampus shall provide: PAN, GSTIN, CIN, MSME registration (where applicable), Udyam ID, ISO certifications (when obtained), and any MeitY empanelment information once available.

3. Permitted use

3.1 The Service may be used by Customer's employees, officers, on-roll contractors, and authorised consultants performing public functions — including managing the public body's own team, time and project tracking and training.

3.2 Customer may use the Service for official, non-classified team workloads. Use for classified or security-sensitive personnel data requires a separate dedicated tenant Order Form and security review.

4. Data residency and sovereignty

4.1 For Indian public-sector customers, Customer Data and Personal Data — including public-servant and team member records — are processed and stored in Indian cloud regions (default: AWS ap-south-1, Mumbai, per Order Form).

4.2 Cross-border transfers (e.g., for support) require written approval from Customer's competent authority.

4.3 Where MeitY notifies a country as restricted under Section 16 of the DPDP Act, transfers to that country are prohibited.

5. Security and compliance

5.1 Timecampus shall comply with applicable CERT-In Directives (Cyber Security Directions dated 28 April 2022 under Section 70B(6) of the IT Act, 2000), including:

  • maintaining ICT system logs for 180 days within India;
  • reporting cyber-security incidents to CERT-In within 6 hours of noticing or being notified, using the prescribed format;
  • synchronising system clocks with NIC / NPL time servers (or equivalent) for the deployed environment.

5.2 Where Customer requires, Timecampus will support MeitY Auditor empanelled security audit at Customer's cost, subject to confidentiality and scheduling.

5.3 For classified or dedicated deployments, Timecampus and Customer will agree a separate Statement of Work; the SaaS-only SLA does not apply.

5.4 Timecampus will reasonably support Customer's compliance with the National Cyber Security Policy 2013, Cybersecurity Framework for Government, Information Technology (Reasonable Security Practices and Procedures and Sensitive Personal Data or Information) Rules, 2011, applicable public-employment / reservation-roster rules the Customer must follow, and applicable state-level IT policies.

6. Personnel security

  • Timecampus personnel with access to Customer environments may, at Customer's request, sign additional confidentiality undertakings.
  • Police verification of personnel: available on Enterprise Order Form, at Customer's cost where supplementary.
  • Personnel screening of Timecampus staff per Timecampus policy; specific public-sector enhancements (e.g., security clearance) require an Enterprise Order Form.

7. Audit and inspection

7.1 Customer (or its appointed audit authority such as CAG / C&AG, internal audit, vigilance authority, or CERT-In) may audit the Service annually on reasonable notice, at Customer's cost, during business hours, under appropriate confidentiality.

7.2 Timecampus will provide reasonable cooperation, subject to the protection of other customers' data, security-sensitive details and trade secrets.

7.3 Timecampus may redact or substitute information that would compromise other customers' security.

8. Conflict of interest, anti-corruption

8.1 Timecampus confirms that no Timecampus personnel involved in this engagement is a "public servant" within the meaning of the Prevention of Corruption Act, 1988 in respect of Customer.

8.2 Timecampus will not, directly or indirectly, offer or pay any improper benefit to any Customer official to obtain or retain business.

8.3 Timecampus complies with the Integrity Pact where prescribed by Customer.

9. Pricing and payment

9.1 Pricing per the Government Pricing Guide and the awarded quote / GeM contract.

9.2 Payment: Indian government bodies typically pay via PFMS / Bharatkosh / e-billing; payment terms default to NET-45 unless contract specifies. Late payment interest follows MSMED Act where Timecampus qualifies as MSME and is the supplier.

9.3 GST applies. Customer shall provide GSTIN, TIN where relevant. TDS / GST-TDS shall be deducted in accordance with law; Customer shall furnish Form 16A / GSTR-7 promptly.

10. Termination

10.1 In addition to MSA termination rights, Customer may terminate this Order Form for convenience on 90 days' notice as required for public-sector flexibility, subject to payment of Fees due up to termination and any committed cost (e.g., dedicated tenant infrastructure). On termination, Timecampus will support export of team, expense and billing and statutory records.

10.2 Timecampus may not terminate for convenience during a public-sector Subscription Term except as required by law or non-payment per MSA §8.

11. Bid securities, performance guarantees

Where required by procurement:

  • Earnest Money Deposit / Bid Security: as per the tender, returnable per tender terms.
  • Performance Bank Guarantee: typically 3%–10% of contract value, valid through contract term + 60 days.
  • Liquidated damages for service-level breaches: capped at the SLA service credits cap unless the procurement document mandates otherwise; in no event exceeding 10% of the annual Fees for the affected Service.

12. Liquidated damages and penalties

Public-sector tenders often specify liquidated damages and risk-purchase clauses. Such provisions are accepted only when expressly carried into the Order Form, subject to caps in MSA §13 and Section 11 above. Timecampus seeks reciprocal cap on the Customer for unpaid amounts and reciprocal force majeure recognition.

13. Force majeure for public sector

Includes additionally: lockdowns, riots, election notification freezes, government model code of conduct, force majeure declarations by competent authority, and disruption due to bandh / hartal.

14. Public-sector communications

  • Notices to Customer: per the awarded Order Form / contract.
  • Notices to Timecampus: contact@timecampus.com plus registered office.
  • Status updates: status.burdenoff.com plus Customer portal where provided.

15. Governing law and jurisdiction

15.1 Indian law applies. Disputes shall be resolved through arbitration seated in Chennai, Tamil Nadu under the Arbitration & Conciliation Act, 1996 — unless the procurement document mandates a different seat (in which case that seat applies), and subject to any statutory dispute-resolution mechanism that overrides (e.g., the Vivad se Vishwas framework where applicable, the Madhyastham scheme, or AMRCD for inter-PSU disputes).

15.2 For public-sector Customers, the courts of the State where Customer's principal office is located shall have residual jurisdiction.

15.3 For state-government Customers, the laws of the relevant State (Stamp Act, IT policy, public procurement rules) apply in addition.

16. Survival

Survival provisions of the MSA, DPA, and Security Exhibit apply.
